Terms of Service

1. Agreement to These Terms

These Terms of Service govern your access to and use of AldinApp, a software platform owned and operated by Aldin Technology Corp, a company registered in the State of Florida, United States.

By creating an account, purchasing a subscription, connecting a third-party service, or otherwise using AldinApp, you agree to these Terms and our Privacy Policy.

If you are using AldinApp on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. AldinApp

AldinApp is a business software platform designed to help users connect and manage e-commerce marketplaces, suppliers, products, inventory, orders, fulfillment, tracking, pricing, and related automation.

AldinApp may communicate with third-party marketplaces, suppliers, logistics providers, payment providers, and other services at the direction of the user and through authorizations granted by the user.

3. Business-to-Business Service

AldinApp is primarily intended for businesses, sellers, merchants, entrepreneurs, and other commercial users.

You are responsible for determining whether your use of AldinApp and any connected marketplace or supplier complies with laws, marketplace policies, tax obligations, consumer protection requirements, product regulations, and other rules applicable to your business.

4. Accounts and Security

You must provide accurate and current account information and maintain the confidentiality and security of your login credentials.

You are responsible for activities performed through your AldinApp account unless those activities result directly from a security failure for which Aldin Technology Corp is legally responsible.

You must promptly notify us if you reasonably believe your AldinApp account has been compromised.

5. Third-Party Integrations

AldinApp may integrate with services operated by third parties, including marketplaces, suppliers, fulfillment providers, payment processors, authentication providers, and logistics services.

Examples may include Amazon, eBay, CJdropshipping, and other supported platforms.

Your use of a third-party service remains subject to that third party's own terms, policies, fees, restrictions, and eligibility requirements.

Aldin Technology Corp does not own or control those third-party services and cannot guarantee their continued availability, accuracy, functionality, pricing, policies, or performance.

6. AldinApp's Role

Unless Aldin Technology Corp expressly states otherwise for a specific service, AldinApp acts as a technology platform and software intermediary.

Aldin Technology Corp is not the manufacturer, supplier, seller of record, marketplace, warehouse operator, customs authority, shipping carrier, or delivery company for products sold or fulfilled through connected third-party services.

The business user remains responsible for its relationship with its customers and for the products it lists or sells through connected marketplaces.

7. Suppliers and Fulfillment

Product descriptions, prices, inventory, warehouse availability, shipping estimates, fulfillment times, tracking information, product quality, and other supplier data may originate from third-party suppliers.

Aldin Technology Corp does not guarantee that a supplier will maintain inventory, fulfill an order, ship an item on time, provide accurate tracking information, deliver a product by a particular date, or provide products matching a particular expectation.

Delays, losses, damaged products, incorrect products, customs issues, carrier failures, supplier cancellations, and similar fulfillment events may be caused by parties outside Aldin Technology Corp's control.

AldinApp may provide tools to help identify, report, automate, or respond to these events, but such tools do not make Aldin Technology Corp the seller, supplier, or carrier.

8. Supplier Reliability and Automated Recommendations

AldinApp may analyze supplier and fulfillment information and generate rankings, recommendations, warnings, reliability scores, or automated supplier selections.

Factors may include available inventory, shipping performance, fulfillment history, cancellation rates, tracking behavior, disputes, supplier information, user experiences, and other operational signals available to AldinApp.

Any AldinApp supplier score or recommendation is an informational and operational tool only. It is not a warranty, certification, or guarantee that a supplier will perform successfully.

Where AldinApp allows a user to override an automated recommendation, the user remains responsible for the supplier selection made.

9. Marketplace Rules

You are responsible for following the terms and policies of every marketplace connected to your AldinApp account.

AldinApp does not authorize practices prohibited by Amazon, eBay, Walmart, TikTok Shop, or any other marketplace merely because a technical feature makes an action possible.

Aldin Technology Corp may restrict or disable functionality when reasonably necessary to comply with marketplace requirements, security obligations, law, or third-party API policies.

10. Products and Listings

You are responsible for determining whether a product is legal, safe, authentic, accurately described, appropriately priced, and permitted on the marketplace where you intend to sell it.

AldinApp may import or synchronize information supplied by third parties. The presence of a product within AldinApp does not constitute an endorsement or legal determination by Aldin Technology Corp.

11. Subscriptions and Fees

AldinApp may offer paid subscription plans, usage-based charges, transaction-related service fees, or other paid features.

Applicable prices will be disclosed before the user purchases or activates a paid service.

AldinApp Usage Fee

Unless a different rate is clearly disclosed for the user's plan, AldinApp may charge a usage fee of $0.01 USD for each qualifying item sold through a marketplace account connected to AldinApp.

The AldinApp Usage Fee is a service fee charged by Aldin Technology Corp. It is not a government tax.

A qualifying item generally means an individual unit reported to AldinApp as sold through a connected marketplace and eligible for processing by AldinApp.

AldinApp may use marketplace order identifiers, order-item identifiers, quantities, order status, refunds, and cancellation information to calculate usage while helping prevent duplicate charges.

Items canceled or fully refunded before an invoice is finalized may be excluded or reversed. If a qualifying reversal is received after an invoice has been finalized, AldinApp may apply the corresponding adjustment or credit to a subsequent billing period.

12. Taxes

AldinApp service fees are separate from taxes that may apply to a seller, transaction, subscription, product sale, or customer.

Users are responsible for their own tax obligations except for taxes that Aldin Technology Corp is legally required to collect or remit.

13. Orders, Cancellations, and Refunds

Order status information may originate from marketplaces, suppliers, carriers, or other third parties and may not always update immediately.

AldinApp may automate portions of order handling, supplier purchasing, fulfillment, cancellations, refunds, or tracking when the user enables the applicable functionality.

Users remain responsible for reviewing and managing their marketplace obligations, customer communications, refund obligations, chargebacks, and disputes.

14. Payments to Suppliers

Where AldinApp facilitates supplier ordering or fulfillment, supplier charges may be paid through payment methods, balances, accounts, or systems authorized by the user.

Unless expressly stated otherwise, supplier product costs, shipping costs, duties, taxes, marketplace fees, and other third-party costs are separate from AldinApp service fees.

15. Prohibited Uses

You may not use AldinApp to commit fraud, violate applicable law, infringe intellectual property rights, bypass marketplace rules, distribute malware, interfere with service security, obtain unauthorized access to other accounts, misuse third-party APIs, sell prohibited goods, or otherwise use the service in a manner that creates material legal, security, or operational risk.

16. Intellectual Property

AldinApp, its software, branding, interfaces, designs, documentation, and related technology are owned by Aldin Technology Corp or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of AldinApp or Aldin Technology Corp intellectual property to users.

Users retain rights they legally hold in content they provide to AldinApp, subject to the limited rights necessary for AldinApp to process that content and provide the service.

17. Service Availability

We work to maintain a reliable service, but AldinApp may occasionally be unavailable due to maintenance, outages, third-party API failures, security events, infrastructure failures, changes imposed by connected services, or circumstances beyond our reasonable control.

We do not guarantee uninterrupted or error-free operation.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, AldinApp is provided on an "as is" and "as available" basis.

Aldin Technology Corp disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are legally permitted.

We do not warrant the performance, quality, availability, legality, inventory, shipping speed, delivery, accuracy, or reliability of third-party suppliers, marketplaces, carriers, or services.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Aldin Technology Corp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost sales, lost data, loss of goodwill, or business interruption arising from or related to AldinApp.

To the maximum extent permitted by law, Aldin Technology Corp is not responsible for losses caused by the independent acts or omissions of suppliers, marketplaces, carriers, customers, payment providers, or other third parties.

To the maximum extent permitted by applicable law, the aggregate liability of Aldin Technology Corp arising from or relating to AldinApp will not exceed the amount paid by the affected user to Aldin Technology Corp for AldinApp during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply in every circumstance.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aldin Technology Corp and its officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from your products, listings, customers, marketplace activity, violation of law, violation of third-party rights, breach of marketplace or supplier terms, or material breach of these Terms.

21. Suspension and Termination

You may stop using AldinApp subject to any outstanding billing or contractual obligations.

Aldin Technology Corp may suspend or terminate access when reasonably necessary because of nonpayment, fraud, security risks, prohibited conduct, legal requirements, material breach of these Terms, or requirements imposed by connected platforms.

Where reasonably practical, we may provide notice and an opportunity to resolve the issue before termination.

22. Changes to AldinApp

Aldin Technology Corp may add, modify, replace, or discontinue features as AldinApp evolves.

Third-party integrations may also change or become unavailable because of decisions made by the third-party provider.

23. Changes to These Terms

We may update these Terms from time to time. The effective date at the top identifies the current version.

For material changes, we may provide notice through AldinApp, email, or another reasonable method. Continued use after an applicable updated version becomes effective may constitute acceptance where permitted by law.

24. Governing Law

These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute that is not otherwise resolved between the parties will be handled in an appropriate court with jurisdiction in Florida, unless applicable law requires a different forum.

25. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

26. Entire Agreement

These Terms, together with the Privacy Policy, applicable Fees & Billing Policy, and any additional terms expressly presented for a particular AldinApp service, constitute the agreement governing use of AldinApp.
